02 / APPLICATION

Acceptance of these terms

These terms should be read with the relevant service page, quotation, order confirmation and any separate written engagement agreement. Together, those documents describe the arrangement between us and the client.

If a specific written engagement agreement conflicts with these general terms, the specific agreement will take priority for that engagement to the extent of the conflict, subject to applicable law.

If you are purchasing as a consumer, any mandatory consumer protection rights continue to apply. Nothing in these terms is intended to exclude or restrict a right that cannot lawfully be excluded or restricted.

03 / SERVICE SCOPE

Services and scope of work

We provide bookkeeping and related accountancy support as described in the applicable service listing or engagement confirmation. Depending on the agreed service, this may include:

  • bookkeeping and organisation of financial records;
  • accounts preparation support and agreed supporting schedules;
  • VAT-related record organisation and supporting information;
  • management information and financial summaries;
  • year-end record checklists and handover support.

The exact work, reporting period, deliverables, exclusions and expected completion timeframe will be confirmed for each engagement. A service description does not mean that every listed activity is included in every package.

Services not automatically included: Statutory accounts filing, tax return preparation or submission, formal VAT return submission, audit or assurance, tax or legal advice, payment execution and representation before a public authority are excluded unless expressly agreed in writing and within the services we actually offer.
04 / ORDER AND AGREEMENT

Orders and contract formation

An enquiry or request for a quotation does not, by itself, require us to accept an engagement. Before work starts, we will confirm the service, fee, payment arrangements, required records and expected delivery arrangements through an appropriate written communication.

A contract is formed when the applicable offer or engagement is accepted in accordance with the order process or written confirmation. We will explain any additional information or starting conditions required for the particular service.

We may ask for clarification before accepting a request where the required work, records or deadline cannot yet be assessed adequately.

05 / PRICING AND PAYMENT

Fees and payment

The applicable fee will be shown on the service page, quotation, order summary or written engagement confirmation. Where a price is described as a starting price or estimate, the final fee will depend on the scope and requirements confirmed before work begins.

Any applicable taxes and payment deadlines will be stated before the client commits to the engagement. The client agrees to pay the confirmed fee in accordance with the agreed payment arrangements.

We will not treat an unconfirmed estimate as permission to add undisclosed charges. Any additional work and related fee will be discussed and agreed before that chargeable work proceeds, except where a different lawful arrangement has been expressly agreed.

If a payment is overdue, we may contact the client to resolve the issue. Any interest, recovery costs or other charges will only be applied where permitted by the applicable contract and law.

06 / DELIVERY

Delivery arrangements and deadlines

We will use the delivery method agreed for the engagement, which may include email, electronic documents, agreed file-sharing methods or online communication. Physical delivery, in-person meetings, software implementation and ongoing support are not automatically included.

The expected delivery date or timeframe will be confirmed before work begins. Unless otherwise agreed, the delivery period starts after the engagement has been accepted, the required starting conditions have been met and sufficient information has been received to carry out the agreed work.

If missing records, unanswered questions, changed instructions or circumstances outside our reasonable control affect delivery, we will communicate the issue and provide a revised estimate where reasonably practicable.

We will make reasonable efforts to meet agreed deadlines. Any specific contractual deadline and applicable statutory rights remain subject to the terms agreed and the law.

07 / CLIENT RESPONSIBILITIES

Client information and cooperation

The client is responsible for:

  • providing complete, accurate and reasonably organised information relevant to the agreed service;
  • responding to reasonable questions and requests for clarification;
  • notifying us of known errors, missing records, unusual transactions or relevant changes;
  • ensuring they are entitled to provide the documents and information supplied to us;
  • reviewing the deliverables and raising apparent issues within any agreed review period;
  • retaining original records and meeting legal or filing obligations that have not expressly been accepted by us.

We may rely on the information supplied by the client unless independent verification has been specifically agreed. The client remains responsible for the underlying transactions and the completeness and accuracy of the information they provide.

08 / VARIATIONS

Changes and additional work

A request to change the reporting period, add deliverables, process substantial additional records, prepare new schedules or undertake work outside the original instructions may change the scope of the engagement.

We will explain the proposed change, any additional fee and the effect on the delivery timeframe before proceeding with chargeable additional work. The client may accept or decline the proposal.

If the client does not accept the proposed change, we will discuss whether the original work can be completed within the existing scope. Any agreed variation should be confirmed in writing.

09 / CANCELLATION

Cancellation, termination and refunds

Cancellation rights depend on the type of client, the contract and the circumstances of the purchase. Consumers entering into qualifying distance or off-premises service contracts may have a statutory cancellation period, generally 14 days from the date the contract is entered into, subject to the applicable legal rules and exceptions.

If a consumer asks us to start work during an applicable cancellation period, we will obtain the required express request and any acknowledgement required by law. If the consumer then cancels, a proportionate charge for services already supplied may be due where legally permitted and where the relevant conditions have been met.

Business engagements are generally governed by the agreed contract rather than consumer cooling-off rights. The legal status of a client depends on the actual circumstances and purpose of the purchase.

Refunds will be assessed in accordance with applicable statutory rights, the work performed and the agreed contract. We do not apply a blanket rule that all payments are non-refundable in every circumstance.

The detailed process is set out in our Cancellation & Refund Policy.

10 / INFORMATION HANDLING

Records, confidentiality and data protection

We will handle personal information in accordance with applicable data protection law and our Privacy Policy. Information supplied for an engagement will be used for the relevant service, communication, administration and other purposes described in that policy.

Clients should use the agreed communication or file-sharing method for financial records and avoid sending unnecessary sensitive information through an initial enquiry form or ordinary message.

We will take reasonable steps to protect information within our control. However, no method of electronic transmission or storage can be guaranteed to be completely secure in every circumstance.

Where the nature of the engagement requires us to process personal data on the client’s behalf, the parties will comply with applicable data protection requirements and put any necessary processing arrangements in place.

11 / PROFESSIONAL BOUNDARIES

Service limitations

Our work is limited to the tasks agreed for the engagement. Unless expressly agreed in writing, a bookkeeping or records support service does not constitute an audit, independent assurance engagement, legal opinion, tax opinion or guarantee that the client’s records satisfy every statutory or regulatory requirement.

We do not automatically submit returns, file accounts, make payments, contact authorities or act as the client’s authorised representative. These tasks require specific agreement and confirmation that they fall within the service being supplied.

A summary, schedule or report is prepared from the records and information available for the agreed purpose. It should not be treated as advice on an unrelated matter or as a substitute for professional advice where the client needs a separate assessment.

12 / LIABILITY

Responsibility and liability

We will provide the agreed services with reasonable care and skill where required by applicable law and the contract.

We are not responsible for errors or omissions arising solely from inaccurate, incomplete or misleading information supplied by the client, or for actions taken by third parties outside our control, except to the extent that applicable law or the circumstances of the engagement make us responsible.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by law. In particular, these terms do not exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Any other limitation of liability must be expressly agreed, appropriate to the engagement and legally enforceable. Nothing in this section removes a consumer’s statutory rights or remedies.

13 / ENDING AN ENGAGEMENT

Suspension and termination

Either party may ask to end an engagement in accordance with its agreed terms and applicable law. Where no specific termination procedure has been agreed, the parties should communicate in writing and seek to confirm the effective date and any outstanding work.

Where a material issue prevents work from continuing, such as essential information not being provided or an unresolved payment issue, we may discuss a pause or other reasonable arrangement. Any suspension or termination will be handled in accordance with the contract and applicable legal requirements.

On termination, fees for work already completed and any other sums properly due will be assessed under the contract and applicable law. Any refund due will be handled in accordance with the Cancellation & Refund Policy.

14 / COMPLAINTS

Complaints and resolving disputes

If you are dissatisfied with a service, please contact us with a description of the concern and any relevant engagement reference. We will review the matter fairly, ask for clarification where necessary and communicate the outcome.

Our complaints process is described in the Complaints Policy. We encourage clients to raise concerns promptly so that relevant records and communications can be reviewed.

These terms do not prevent either party from using any applicable legal remedy or statutory dispute resolution route.

15 / GENERAL TERMS

General provisions

Changes to these terms

We may update these general terms from time to time. The terms applicable to an existing engagement will not be changed retrospectively merely by publishing a revised website version. Any change to an existing contract must be agreed or otherwise permitted by law.

Severability

If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

No waiver

A failure or delay in exercising a contractual right does not automatically waive that right.

Third-party rights

Unless expressly stated otherwise, a person who is not a party to the relevant contract has no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.

Governing law and jurisdiction

These terms and any dispute arising from them are governed by the laws of England and Wales, subject to any mandatory legal protections and jurisdictional rights that apply to a consumer or other client.
